NDEPENDENT CONTRACTOR AGREEMENT Shopify Website Development Services (Virtual Assistant) This Independent Contractor Agreement ("Agreement") is entered into on August 3rd, by and between: Client: Name: Beno Evabeta Business Name: Orderly Haus and Living ("Client") and Virtual Assistant (Contractor): Name: Shajahan Sajal ("Contractor") Collectively referred to as the "Parties." ________________________________________ 1. Purpose The Client engages the Contractor to provide Shopify website development services for the Client's online business, and the Contractor agrees to perform these services under the terms of this Agreement. ________________________________________ 2. Scope of Work The Contractor shall assist in developing a complete Shopify store, including but not limited to: • Shopify store setup • Theme installation and customization • Homepage design • Collection and product page setup • Navigation menu creation • Product uploads • Policy pages (Privacy Policy, Refund Policy, Terms of Service, Shipping Policy) • Contact page • About Us page • Basic SEO setup • Domain connection • Payment gateway configuration • Shipping settings • Apps installation (approved by Client) • Mobile optimization • Store testing before handover • Minor revisions requested by Client Any work outside the above scope must receive written approval from the Client. 3. Contract Duration The Contractor shall provide services for a maximum of: 30 Hours Total Expected completion: Approximately 2 weeks from the commencement date. 4. Compensation The Client agrees to pay: Hourly Rate: USD $7.00 per hour Maximum Contract Value: 30 Hours × $7 = USD $210.00 No additional hours shall be worked without written approval from the Client. 5. Payment Schedule (Milestone Payments) Payments shall be made according to the following milestones: Milestone Hours Amount Project Start 3 Hours USD $21.00 End of Week One 15 Hours USD $105.00 End of Week Two (Project Completion) 12 Hours USD $84.00 Total Contract Amount: USD $210.00 Payment will be made within 48 hours after each milestone has been completed and approved by the Client. 6. Work Hours The Contractor shall: • Maintain accurate records of hours worked. • Provide a daily summary of completed work. • Notify the Client before exceeding any milestone hours. • Be available for communication during agreed working hours. 7. Deliverables By the end of the contract, the Contractor shall deliver: • Fully functioning Shopify store • All agreed pages completed • Store optimized for desktop and mobile • Products uploaded (as provided by Client) • Store ready for launch • Transfer of all administrative access to the Client 8. Ownership of Work All work; designs, graphics, configurations, written content, customizations, and files created during this project shall become the sole property of the Client upon payment. The Contractor shall have no ownership rights over the completed Shopify store. 9. Confidentiality The Contractor agrees to keep confidential: • Shopify login credentials • Supplier information • Product research • Pricing strategies • Marketing plans • Customer information • Business documents • Financial information The Contractor shall not disclose or use confidential information for personal benefit during or after this Agreement. 10. Non-Disclosure The Contractor agrees not to copy, sell, distribute, or reuse any materials, business ideas, branding, or proprietary information belonging to the Client without written permission. 11. Quality of Work The Contractor agrees to: • Perform services professionally. • Follow Client instructions. • Deliver work free from intentional errors. • Correct reasonable defects identified by the Client during the project at no additional cost. 12. Revisions The Client may request reasonable revisions related to the agreed scope of work. Work outside the agreed scope may require a separate agreement. 13. Communication The Parties agree to communicate through: • Email • WhatsApp • Upwork (if applicable) • Other mutually agreed communication methods 14. Independent Contractor Status The Contractor is an independent contractor and is not an employee of the Client. The Contractor is responsible for their own: • Taxes • Insurance • Equipment • Internet connection • Workspace Nothing in this Agreement shall create an employer-employee relationship. 15. Termination Either Party may terminate this Agreement with written notice. If terminated: • The Contractor shall be paid for approved hours already completed. • The Contractor shall immediately stop all work. • All work completed up to the termination date shall be delivered to the Client. 16. Intellectual Property Upon payment, all intellectual property created under this Agreement shall transfer exclusively to the Client. This includes: • Website design • Graphics • Layout • Written content • Images created specifically for the project • Custom code • Store configuration 17. Warranty The Contractor warrants that: • Work performed will be original or properly licensed. • No third-party intellectual property rights will be knowingly infringed. • The Contractor has the authority to enter into this Agreement. 18. Limitation of Liability The Contractor shall not be liable for: • Shopify platform outages • Third-party application failures • Hosting issues • Payment processor outages • Changes made by the Client after project completion 19. Governing Law This Agreement shall be governed by the laws of the Province of Saskatchewan and the federal laws of Canada applicable therein. 20. Entire Agreement This document constitutes the entire agreement between the Parties and supersedes all prior discussions or understandings regarding this project.
